Book Description

An essential guide to starting a small business C-corporation in any state.

Customer Reviews:

5 out of 5 stars Excellent for Writing A Great Business Plan .......2005-03-17

I was pleasantly surprised by the content and structure of this book. I have written business plans in the past, but I still found it immensly helpful to follow the guidelines in this book. I'd tell anyone with a business idea to use this book first, follow the workbook completely and once you have a great business plan, you can then take it to a corporate attorney to get advice on the best business entity to use. Long live Entreprenuers!!

5 out of 5 stars C-Corporation Small Business Start-Up Kit.......2003-07-10

This book contains all of the forms and instructions that are necessary to set-up a small business "chapter-C" or standard corporation in any state. The forms on the included CD-ROM make the task of preparing Articles of Incorporation, By-laws, minutes of meetings, etc. a very simple task. Despite what Mr. Hefner states in his review, the appendix of this book contains far more state-specific information about corporate law than merely the addresses of the state corporation departments. It details the specific state statute where incorporation information is contained. It describes the title of the state filing necessary, as well as the amount of any filing fees or other required fees. It also outlines the details of corporate name reservation rules and the fees for name reservations. The number of incorporators, the required language for corporate purpose requirements, the number and residency requirements for corporate directors, any state-specific paid-in capital requirements, any required publication requirements, and details of any other relevant state corporation regulations are all outlined in the very useful state by state appendix of this book. This detailed appendix makes it very easy to tailor the forms in the book and on the CD-ROM for use in any state.

3 out of 5 stars Not Exactly..........2002-10-28

The sub-title of this book is "Everything necessary to set up a small business C-Corporation in all 50 states and Washington, D.C.". That's quite a hefty promise! The book is a good start, but hardly lives up to the claim.

At 286 pages, there is hardly room for a lot of coporate philosophy or specifics about starting a business. More than half of the book consists of forms that are found on the CD-ROM, or explanations of specific portions of those forms. I have to classify this as a bare-bones crash-course in how to start a C-Corporation, as most of it contains generic forms that may or may not be applicable to your specific situation.

The book includes a CD-ROM, which basically just includes MS Word and Adobe Acrobat versions of forms that are printed inside the book. No other software is included, other than the Acrobat Reader. It is impossible to navigate the files without the assistance of the Table of Contents in the book, as the documents are named in a numerical fashion, and no master list of documents exists on the CD-ROM itself. Basically, the CD-ROM will just save you from re-typing the forms contained in the book, although you will likely need to do a LOT of editing for your specific situation.

The book is a bit overpriced..., IMHO. The information and forms are simply way to general to rely upon to start your own corporation, and there is absolutely no state-specific information included, other than an appendix with the addresses of each state regulatory authority in the back of the book.

Basically, I would not advise anyone to use this book to start their own C-Corporation. However, it is a good resource for those who know zero about what is involved in forming a C-Corporation, or who want to use the CD-ROM to save them some time in typing. Compared to what most lawyers will charge, it's a bargain. However, if you rely solely upon this book as the basis of how (or why) to form your C-Corporation, you are simply headed for trouble. It's a decent, well-written little reference though, and for that alone I give it three stars.

Humble beginnings, an uphill battle, and making a silk purse out of a sow's ear. All of these phrases help illustrate the proverbial card that Nathan Bedford Forrest was repeatedly dealt and how he succeeded through tenacious card playing and bluffing.

Like many of the books on Forrest, the author covers Forrest's having to provide for his family out in the frontier after his father died, the highlights of his exploits in the Confederate arm, as well as his dealings with the Klan. The early life shows what Forrest will have to do with his military units as he had to fend for himself in terms of men and materials. Even with the disadvantage of shortages, he found a way to get materials (sometimes paying from his own pocket and other times taking from the enemy) to provide for his men, and he bluffed his way through many skirmishes by deceiving his adversary into believing that Forrest had more troops than he did.

As with other biographies on Forrest, the author discusses the connection to the Klan, but he highlights that Forrest was never explicit in stating that he was or wasn't a part.

If you have read other biographies, then this book will not provide a whole lot of new material. However, it is an intriguing read.

4 out of 5 stars Another interesting perspective!.......2003-02-13

Being a fan of Forrest I was happy to see that Wills went to great pains to only write about true occurrences that he could back up with documentation. Wills covers the myths and potentially wrong information developed by this great commander over the years and dispels them by trying to be fair and accurate in what took place. Myths can become larger than life and Forrest is no stranger to such talk over the years. Such potentially false information of Forrest isn't conveyed in this book.

Wills' coverage presents Forrest from early adulthood pre-war life all the way up until his death in 1877. His battlefield coverage may not be as complete as other books on Forrest although he does cover many campaigns and exploits of this great Southern leader. I felt Wills had skipped some exhaustive detail as found in other books about Forrest post-war career such as his involvement with the KKK, political world and business ventures. Wills covers these but keeps the information quick, informative and focused. Wills tries to realistically look at Forrest and present better facts which I appreciated. Any fan of Forrest owes it to them to read this book to get new and fair insight into a rather large and sometimes mythical character that struggled through life in multiple hardships, conflict and destiny.

4 out of 5 stars Underappreciates the Drama.......2001-12-15

This book is considered the best history of Forrest. It's a Northern book, basically. This may well be the best approach to take on this character, otherwise he does tend to get out of hand. Forrest is still infamous, especially for Fort Pillow. Wills goes after him for all he's worth but in the end doesn't come up with anything. It's a decent exoneration. Forrest was cleared of Pillow officially and historically despite low-blows from a propagandizing North that hasn't let up on him yet (see "Forrest Gump"...and most any public Northern remark about Forrest even today). Forrest had slaves and as much guilt there as other Southerners, but the special venom reserved for him in the North is odd. I found other quotes of Forrest refering to slaves not as property but as a working class to be noteworthy, but they aren't much considered anywhere. It actually seems like he was better than many Southerners in this regard, but still gets picked out for special hatred. Forrest's race "rep" relates his infamy but actually didn't have all that much bearing on the bulk of his amazing military career. In some ways it adds to his interest---he seemed to take a decent if fiesty independent stance there as everywhere else in his career. Anyway, someone who's infamous needs to be looked at more closely than usual. So Wills doesn't give an inch. Most of Forrest's astounding exploits are delivered not only dryly but begrudgingly. You often have to read between the lines to sense what really happened. Great achievements will be mentioned with a line but minor, almost-unrelated harping is given as much play as possible. Even so, the greatness of the drama and character of Forrest comes thru. Now, the Lytle bio is a good read but sappy. In the end "That Devil Forrest" by Wyeth is probably the best...dry, clear but with appreciation for the magnitude of Forrest's actions. Wyeth also examines the roots of his infamy, but because it's an older book perhaps requires more independence in the reader. Wills walks you by the hand, often protecting us more than necessary.

    5 out of 5 stars Great Book.......2000-05-24

I personally love reading about the civil war. but all the books I have read have been mainly focused on the eastern theater. This book gave me a great glance of the western theater. This is a great book and I highly recommend it.

    5 out of 5 stars Great Bio.......2000-05-04

This biography read like a novel. I couldn't put it down. My father grew up near Selma where Wilson defeated Forrest and burned the foundry. This gave the book a personal touch. I highly recommend it if you would like to learn a little more about the man.

                Book Description

The first major work to identify the original generation of American geographers--teachers, writers, surveyors, cartographers, engravers, and others--who made significant contributions to the field of geography during the early years of the republic. As such, it represents a powerful research tool for scholars interested in learning about this group and the products of their labors. A comprehensive and inclusive reference work, this book depicts the individuals who engaged in the establishment and description of the United States. It includes information on people who were involved in activities that led to a remarkable body of information, maps, and literature of a geographic nature about the country.

                    Book Description

After mankind entered the last 20 years of 20th century, several great events which influenced the progress of history have taken place. Among them the economic system reform in China is a very important one. Since the 3rd Plenary Session of the 11th Central Committee of Communist Party of China started the economic system reform, the reform has been carried out for 20 years, during which China has changed earth-shockingly and become the focus of world attentions. In the 20 years the national economic power of China has grown significantly, the living standards of Chinese people improved obviously, and the position of China in the world has risen steadily. Especially, after 1997's Asian financial crisis, economies in many Asian countries have been struck seriously. Chinese economy, however, not only remained steady but also offered a lot of support for other countries to counter the crisis and earned respect from the world. All of the important changes, without doubt, owed much to the social and economic reforms pushed firmly by Chinese government and people. The basic framework of this book is consistent with the composition of target model of economic system reform in our country. The basic views of the authors are that the purpose of researching the progress of system reforms is to understand how far we have stepped forward to the target model since the start of reform. Therefore, the logical system of this book is arranged according to the composition of market economic systems to be carried out in the future. The target model comprises three layers or links: government---market---enterprise. In order to emphasize the key points and for the convenience of discussions the analyses in this book follows the sequence of enterprise---government---market. The systems of enterprises are the core of market economic system, so to study them first is advantageous to catch the key. The contents of market systems are quite varied, including consumer goods, production materials as well as the main factors of markets such as labor, capital, funds, real estate, housing, technology, and foreign exchange markets and so on. So it is convenient to discuss them lastly. The research of marketization according to main composition of systems is followed by the studies on agriculture, industry and foreign trade. Finally, the differences of marketization of several large areas such as the east, middle and west or the south, middle and north parts of China are explored.

                    Book Description

                    Well, hello, Dolly!

Carol Channing, one of America's most beloved and enduring theatrical legends, takes on her most challenging role yet: as the author of this funny, ribald, and moving memoir.

Known across the nation for her portrayal of the irresistible Dolly Levi, the title character of the Broadway musical phenomenon, Hello, Dolly!, Carol Channing is perhaps the only living theatrical star whose name brings a smile to the face of people in virtually every city and town across America and Canada, to say nothing of London, Melbourne, and Sydney. Her performance as the droll and leggy Lorelei Lee in the Broadway version of Gentlemen Prefer Blondes made her a star and launched a career that has spanned over fifty years and has included a number of Broadway plays, many television appearances, and two movies, including Thoroughly Modern Millie, for which she was nominated for an Academy Award. Capping them all, of course, was her Tony award-winning signature performance as the irrepressible Dolly.

Conversational in style, and written entirely by Miss Channing, this star-studded chronicle gives you the feeling that you are sitting down with this fascinating woman and having her delight you with tales from her long and amazing life, both personal and professional. You'll be invited behind the scenes for stories featuring an all-star cast of celebrities such as Marilyn Monroe, Barbra Streisand, Ethel Merman, Mary Martin, Tallulah Bankhead, Gower Champion, Clint Eastwood, Julie Andrews, Marlene Dietrich, David Merrick, Noël Coward, Al Pacino, and Yul Brynner. And you'll learn of the not-so-glamorous times, too, as Miss Channing reveals her theatrical triumphs, her heritage, and her winning battle with ovarian cancer. Through it all, Carol Channing -- the real star of this story -- demonstrates with wit and candor how she kept up her spirits and forged fearlessly ahead.

From the first page to its triumphant conclusion -- and including many never-before-seen photographs -- Just Lucky I Guess is perhaps Miss Carol Channing's most engaging performance yet.

4 out of 5 stars Rather Choppy- but fun!.......2007-08-07

Carol Channing's autobiography is a fun read indeed, but is rather choppy. It was previously said that she never really finishes her stories, and that is ture, however, I was never left wanting. Her narrative is very entertaining, and the anecdotes are fun tidbits to tell! There really is one for every occasion!

                    A must for Channing fans!

                    5 out of 5 stars Hello Dully!.......2006-01-26

Now, I understand that as we look back on our lives that we tend to remember the good times rather than the bad, but Carol does so to the point of chronicling a rather dull existence. She leaves out all the stories that made her one of the great survivors in the industry. Case in point, there's no mention of the story when Frank Sinatra beat her to within an inch of death with a pillowcase full of doorknobs. There's no mention of her bloodfeud with Rosemary Clooney and how she once pulled a knife on Clooney and cut off her pinky toe. And of course, the greatest omission of all: Carol has an irational fear of men with mustaches. Could have been better.

4 out of 5 stars Were You Expecting Eleanor Roosevelt's Autobiography?.......2004-12-12

Carol Channing tells her life story (probably dictated with almost no editing) in her own style - delightfully mixed-up, carefree and uninhibited. Of course she skips around and even SHE forgets exactly what her point was. Is this disappointing? No, she's just being Carol Channing, a true zany. Not Lucille Ball, a very serious and level-headed businesswoman who just played a zany.

The unabashed love she felt for her best pals- Mary Martin and George Burns in particular, is heart-warming reading. Her disdain for certain others never remotely comes across as bitter,
for example in the case of the nameless "Yenta" from one of her
Broadway shows. "Yenta" was a troublesome actress who, Carol later found out, wound up as a dental assistant. "It could have happened to any of us," Carol laments to us with a straight face. As if becoming a dental assistant was like dying in a plane crash! That's Carol... if you stray too far off Broadway you might as well be dead. Her love of life and love of the theater are one and the same, and it pours forth in every page.

You will notice too that there's no photo of her husband/manager of 42 years, Charles Lowe, whom she divorced very publicly in 1997 after informing the world he was gay and in all that time they had intercourse on two occasions. All mention of him is less than she gives to describe the "pear-shaped" ass of agent Sue Mengers. So you know that there are some sad things the happy Carol would just like to blot out, or, at least not burden us with. She'd rather give us peppy and mixed-up Carol showbiz yarns in no particular order.

The most controversial element of her tome is the impossible-to-prove assertment that her father was a light-skinned African-American. Fortunately or unfortunately, depending on how you look at it, her father's "colored" birth certificate was destroyed. Now I could be wrong, but I think it is merely some of Carol's over-stimulated imagination at play, as when she saw-
I'm not making this up- a rainbow over Mary Martin's pancreas.
And of course, it's a little extra spice for selling books. And speaking of spice, the book is worth purchasing if only for the anecdote about a "Chinaman's mustache." I'm not telling, you'll have to read it.

Those who complain that her book has no order, rhyme or reason just don't know Carol. But "Just Lucky" is a terrific way to get to know this one-of-a-kind theater icon.

Carol Channing's memoir is not candid at all. This is the story of a lady that spent 40+ years on the road doing tour after tour after tour because she was in a loveless unhappy marriage. Her abusive husband was living high off the hog with his male lover while she was out performing all over America. She had a terrible life until her husband's death...and only recently she met her current husband, a wonderful loving millionnaire whom she dated originally in Junior high. It's a fascinating story which you will not find in the book.

What a waste of money & time!!!!!! The author is obviously in her dotage & cannot complete a sentence or a thought.Where were her editors???? Very disappointing read!!!! I've always enjoyed Carol Channing, but it was a chore to get thorugh this book. A little of her ramblings goes a long way. I suspect that Carol thinks these non-sequiters are part of her charm. Boo to the publisher of this book. One would think they'd have known better than to try to foist this inferior book off on an unsuspecting public.

4 out of 5 stars Excellent book about life during WWII.......2002-04-19

With a special interest in World War II and the 461st Bombardment Group in particular, I found this book excellent. Most of the men who fought during WWII were in their late teens and early 20s. It's amazing to be able to read about their activities.

5 out of 5 stars One More Mission.......2002-02-24

I highly recommend this book for readers of any age. However it was particularly interesting to me as a fellow member of the same squadron and group. We were both on many of the same missions and his recollections matched my own. An excellent contrast of what bomb raids were like in those days with 700-800 bombers compared to more precision bombing done today with far, far fewer planes.
The first half of the book describes life in the 20's, 30's and 40's in Texas. Although my experiences were in NJ many were similar and for those not living in those times a glimpse of what it was like.

                    5 out of 5 stars Interesting reading........2002-02-07

I really enjoyed reading about this young boy's life in east Texas during the Depression. Gives one a good idea of what life was really like back then. The small town boy then grows up to go fight in a world war as a bomber pilot. Interesting accounts of each mission he flew over Europe. A well-written book.

Great reading about a boy growing up during the Depression only
                    to face WWII after highschool.
If you read this book I guarantee you'll finish with a better
understanding of our American history, how life was back then,
and a new appreciation for our lives today.
