A Classic Example of..........2007-09-23
...what happens when creativity is subjugated to analytic, overly structured methods.
This book offers the path to NOT be creative. What it does is reinforce positive "group-think" behaviour.
Why 5 stars? Because it is a perfect contradiction. Recommended.
Implementing thought, is all there is to creativity.
Book Description
This book is a concise analytical overview of the field of corporate law. The authors start from the premise that corporate (or company) law across jurisdictions addresses the same three basic agency problems: (1) the opportunism of managers vis-a-vis shareholders; (2) the opportunism of
controlling shareholders vis-a-vis minority shareholders; and (3) the opportunism of shareholders as a class vis-a-vis other corporate constituencies, such as corporate creditors and employees.
Every jurisdiction must address these problems in a variety of contexts framed by the corporation's internal dynamics and its interactions with the product, labor, capital, and takeover markets. The authors' central claim, however, is that corporate (or company) forms are fundamentally similar and
that, to a surprising degree, jurisdictions pick from among the same handful of legal strategies--although not always the same strategy--to address the three basic agency issues.
This book explains in detail how (and why) the principal European jurisdictions, Japan, and the United States sometimes select identical legal strategies to address a given corporate law problem, and sometimes make divergent choices. After an introductory discussion of agency issues and legal
strategies, the book addresses the basic governance structure of the corporation, including the powers of the board of directors and the shareholders meeting. It proceeds to creditor protection measures, related-party transactions, and fundamental corporate actions such as mergers and charter
amendments. Finally, it concludes with an examination of friendly acquisitions, hostile takeovers, and the regulation of the capital markets. This book should be of great interest to scholars and students of corporate and comparative law and to persons interested in business, finance, and economics
who wish to deepen their understanding of corporate law.

The Anatomy of Corporate law: A comparative and funcional approach.......2007-03-10
Exccellent book, oth for lawyer and economists,
Katra
Great book.......2006-07-04
I do agree with the former reviewer. This is a great book if you do want a comparative perspective of corporate law. It is concentrating on how different legal systems have solved the same problems with minority shareholders, agnecy costs etc. with examples from Japan to US to Europe. We are using it as required reading on two different law school courses.
Work of excellene.......2006-03-20
A first time global review of corporate law explaining everything. I loved it

Book Description
The year was 1974 and "That's Entertainment," the compilation film of Metro-Goldwyn-Mayer Studio's most wondrous musical moments had just opened wide at theaters nationwide. For David Fantle and Tom Johnson, two St. Paul, Minnesota teenagers, it was a galvanizing experience.
When "That's Entertainment" opened, their interest in the movies and the stars that were in them was piqued. Not only did they become film buffs, but in 1978, just liberated from high school, they made their first trip to Los Angeles to interview Fred Astaire, Gene Kelly and George Burns. The celebrity floodgates opened.
The pair began publishing their interviews in the Minnesota Daily, the University of Minnesota newspaper and have interviewed more than 200 celebrities the past 25 years for publications throughout the world.
"Reel to Real: 25 years of celebrity profiles from vaudeville to movies to TV" represents the authors 60 "best" interviews with such legendary names as Astaire, Kelly, Burns, James Cagney, Lucille Ball, Gregory Peck, Bob Hope, Charlton Heston and Frank Capra.
Customer Reviews:
amazing insight........2004-12-28
I read it over a period of two days and found it very hard to put down. The essays on each star were fairly short, but they gave an insight into their lives off the movie screen and out of the pages of the fan magazines. More of a "where are they now..." kind of book.
I have a touch of envy too. I would have loved to have done what David & Tom did - travelling to Hollywood in the summer to interview stars of the Hollywood golden age. I have a keen interest of what went on behind the scenes & afterwards, almost as much as the finished products themselves.
An engaging slice of the stage and silver screen life.......2004-09-16
Reel To Real is an anthology of celebrity interviews featuring big names in entertainment from vaudeville to movies and TV. Various interviews take place in different years, spanning 25 years total. The Featured individuals include Harry Delmar, Fred Astaire, Charlton Heston, Janet Leigh, George Burns, William Shatner, Mel Blanc, Mel Brooks, and many more. Each interview has a down-to-earth tone and offers plain-terms insight into the business of bright lights and mass-media, from celebrities' reactions to government cutting of arts funding to the simple trials and tribulations of growing up and striving to make it big. An inset collection of black-and-white photographs of the interviewees rounds out this engaging slice of the stage and silver screen life.
Untold Stories.......2004-06-08
Reel to Real is a history of 20th century entertainment. If you're a film buff and appreciate the "Golden Age" of Hollywood, the interviews in this book are for you. The Frank Capra chapter is funny and informative. Spencer Tracy's story about Hemingway is amazing. And Milton Berle talking about dressing in drag for the first time is a real hoot. I couldn't put this down!
Candid, Facinating Hollywood Celebrety Interviews.......2004-02-16
For anyone who loves candid, facinating anecdotes about the way Hollywood used to be....from the stars and directors who were there and made history, this book puts it up front.
It contains tons of information that I have never heard about before. For instance, I never knew Frank Capra gave Irving Berlin the idea for the musical "Holiday Inn" staring Fred Astaire and Bing Crosby. I always thought that Berlin came up with the idea himself. The Lucille Ball interview was also very cool as were many others.
The pictures really rock. I especially loved the Milton Berle gag photo where he poses with a cigar sticking out like a bucktooth beaver......and what's with songwriter Sammy Cahn posing sans shirt? Bizarre!
The interviews are often very funny and sometimes border on the irreverent, so this isn't some kitchy Hollywood cream-puff book. Yet, though it all, you can tell that Fantle and Johnson have deep admiration and respect for the clasic stars they interview.

The book describes mountaineers' religious beliefs and practices and how they celebrated their holidays. The little boy, who tells the story, didn't know he was poor, didn't have expensive toys but found hours of entertainment in the mountains and woods.
Customer Reviews:
A memorable, nostalgic, and highly recommended narrative.......2003-04-14
Mountain Born, Mountain Molded by Larry G. Morgan is a wryly written personal memoir of growing up in the Nantahala region of western North Carolina from 1945-1955 as the fifth in a family of ten children. Childhood memories, simple games kids played long before popular culture became overloaded with atrociously [spendy] collectible toys, and the refreshing wonder of the great outdoors are all recalled in this memorable, nostalgic, and highly recommended narrative.

Reminded me of some things I've forgotten & even taught me some new stuff!.......2006-11-23
I've been active in my teacher's union for over 20 years, but even
with that background, I found THE UNION MEMBER'S COMPLETE
GUIDE by Michael Mauer to be a most worthwhile book to read . . . it
reminded me of some things that I had forgotten and even taught me some
new stuff as well.
Mauer, director of organizing and services for the American Association
of University Professors, really knows his stuff . . . you can tell he has
an extensive union background from reading virtually any page, and
you'll appreciate how he takes almost anything a union member needs
to know (e.g., how to file a grievance) and breaks it down into steps
to follow that are easily understood.
I particularly liked his breakdown on an employee's right to have
a union representative, a situation we too often have to deal with
at my college . . . as he notes, under "Weingarten rights," an employee
has the legal right to have a union representative--but not a
lawyer--present during a meeting with management if all
of the following conditions are met:
1. The meeting is an investigatory interview. This means that
you are expected to answer questions in connection with an inquiry
into possible wrongdoing or unacceptable behavior. Weingarten rights
do not cover meetings where the communication is one-way; that is,
when the purpose is merely to convey information to you or to notify
you of a decision already made regarding discipline.
2. Disciplinary action may result from the meeting. The law requires
only that disciplinary action--of any severity--is one possible result
of the meeting.
3. You "reasonably believe" that disciplinary action may result. If there
is a legal dispute over whether your concern about possible disciplinary
action is "reasonable," the determination will be made based on all the
circumstances surrounding the meeting: Has your supervisor previously
raised the possibility of discipline? Have other employees already been
disciplined for what you're accused of? Are you already working under
the threat of a performance warning letter?
4. You make a request for representation. This is another way Weingarten
rights differ from Miranda rights: your employer generally is under no
obligation to inform you of your right to be represented. It's up to you
to know your rights, and to assert them.
The above is so good that I'm going to copy it and share with
several of our union officers . . . in fact, there's a lot more that is
worth sharing . . . do yourself a favor and get Mauer's book for
any prospective or future member who really wants to understand
what it means to belong to a union.
this book IS still in print.......2006-01-18
(note from the author)
The review below calls for some elaboration. A pirated hardcover edition of the book was in fact withdrawn from publication, but the genuine, paperback edition is still in print and available from Amazon.
Out of print.......2005-10-02
The book was out of print but my money was promptly refunded.
A book to use.......2002-04-08
I purchased this book and gave it to a friend to read who had problems at work with a recent contract in which she and others were neglected in the pay increases. Michael Mauer's book is written in such an easy and practical style that it gave her the confidence to initiate an unfair labor practice with the National Labor Relations Board which was signed by the others in her department. The ULP was denied because it was not filed within the 6 months time frame but my friend is confident that the union will not forget them in the next contract. Kudos to Mr. Mauer for writing such a practical and useful book.
Explaining the Union.......2002-02-20
Finally, someone has written a book in plain English that explains just exactly what a union is and how a union operates. The Union Member's Complete Guide by Michael Maurer was written for the average American Joe or Josephine to explain the union experience from the point of view of the member or potential member -- in other words, from the bottom-up.
This is a guide book that describes the basic elements of the union in concise terms. What is the difference between the union and non-union workplace? What are dues and how are they determined? What are the rights and responsibilities of being a union member? What is a union contract? What is a grievance procedure?
Because the union experience is so rarely expressed or defined in this country, there needed to be a book like this that spells it all out. Whether you are already in a union or are thinking of joining one, I heartily recommend this practical guide, complete with glossary, "helpful contacts" and index.

Book Description
This book examines the unique relationships between seven important leaders in history--from Henry VIII to Martin Luther King, Jr.--and their principal advisors. Studying the common psychological themes in such relationships, as well as the consequences of the collaborations, Michael Maher traces the evolution of new styles of political leadership from absolutism through nationalism and socialism to the social advocacy developed by Martin Luther King and Ralph Abernathy. The book uncovers the complex systems each team creates and the way these systems evolve toward a point of impasse or gridlock that requires the emergence of a new political system. Written for the general reader interested in history, this unique, comparative approach will also appeal to the student of politics and management. Lieutenants uncovers several recurring patterns in the partnerships of each leader and lieutenant. The book reveals how none of these lieutenants fully controls the forces they use, but merely manages or manipulates them for a time. Maher explores the often complementary personalities in the partnerships--one introspective, the other an extrovert; or older men with younger collaborators. He discusses the strongly developed sense of mission in each of the lieutenants, often greater than that of the leader. The book follows new models of leadership and political power created by these partnerships and reveals, even in the most abstract or altruistic appearance, the sense of power these lieutenants covet.

Book Description
"I am not a woman. I'm a force of nature."
Courtney Love knows exactly what she is. She created herself: demon diva, goddess of grunge, media super-icon, wife of the late rock megastar Kurt Cobain. Lead singer of the band Hole, her persona is larger than life -- bellowing, ranting, riling up the masses. She was made for the spotlight, and she rules it like a dark angel, her on- and offstage presence seething with such power, venom, and raw sexual fury that she obliterates everyone else on the music scene today.
"I want to be the girl with the most cake."
Courtney Love may have achieved her goal of becoming a self-made celebrity, but her hungry climb to fame wasn't easy. It took her from a troubled childhood to the sleazy underworld of strip joints to the hardcore drug scene. She was institutionalized as a juvenile delinquent, tormented as a rock groupie, and driven to near suicide as a grieving widow. Then there was her tumultuous relationship with Kurt Cobain -- a sweet-and-sour marriage of twisted passion that ended tragically with a shotgun blast.
Here at last the true Courtney Love is revealed...the headstrong hellraiser in a baby-doll dress...the raucous performer ripping up the airwaves, at war with her public image and herself...the unstoppable survivor forever rising from the ashes only to burn more brightly....
Customer Reviews:
I was there.......2005-11-29
Pretty interesting reading the reviews. I was there at the time this was written. Rozz told his story to Melissa, in thoughts of co-writing the book. Melissa took notes from Rozz, then he must have pissed her off, she published the book without him. The writing is VERY clumsy, but it kind of gives it a Quentin Tarintino feel. It does describe an interesting time in Portland and rock history
Rossi 'vs' Brite.......2005-11-25
I read this biography first and then "Courtney Love: The Real Story" by Poppy Z. Brite. Both definitely have their flaws and strong points. Each contributes different facts and stories, so if you read both you get a pretty complete picture of Courtney Love's life.
ROSSI:
This biography gives much more detail and depth into Courtney's life. The writing style is a bit haphazard and choppy, but is still understandable and more interesting than Brite's. The one main fault against Melissa Rossi is that she doesn't cite any of her sources which leads you to wonder where she got her information. She does admit that she never interviewed Courtney and this was "unauthorized."
BRITE:
A little easier to follow, but kind of feels like an overview. I wish she would have gone into more depth on some issues. Also Poppy Brite desperately needs an EDITOR! The mistakes don't really affect the story, but they certainly don't give the reader much faith in her abilities. Lots of color pictures and an extensive bibliography.
Neither book is really above the other and both books are entertaining reads for a cheap price.
What can you say?.......2005-03-13
OK, so this "most" unauthorized bio on Mrs. Love-Cobain, falls under the "mediocre" category. For several reasons, the first being that author Melissa Rossi cannot write. The whole flow of the book feels uneven and choppy even though it's mainly written in chronological order. While you have a good phrase every once in a while, you also have sentences that leave you wondering if she's just graduated high school. She chops it up and throws in uneccessary facts about herself and unimportant characters in the story. She seems to know a few big words that are thrown in there, but then the rest is bland and unbearably simple. It feels as though she wrote it, and then went back and revised with a thesaurus. And then there's her "sources". These are somewhat a mystery at times, and alot of it seems to rely on Love's former flame, Rozz Rezabek. And the whole thing reads like a bad history book, just relaying events and quotes while throwing in the occasional "insight" which repeats itself over and over and over(she's messes up but she always comes back to fix it, wow what a resilient gal she must be). The strongest point of the bio is the basic outline of her life and the photos. So if that's all you're looking for, here it is.
fantastic book.......2004-08-21
this book is fantastic. whenever i put it down, it was by force. melissa rossi did a great job writing it, telling itlike it is, showing the good and bad sides of everything, and its a great read. <3
What a horrible collection of gossip. . ........2003-09-03
The author claims to have respect for Courtney's achievements, but every page of this book drips with scorn. At one point she wastes an entire page reviewing Ms. Love's appearance in a derogatory manner, only to report on Ms. Love's plastic surgery later in the book with even more scorn. Lady, make up your mind.
At the beginning of the book she reports on her one-time co-author's scheming to make money off of Courtney's private thoughts, and then later describes said co-author's relationship with Courtney purely from his point of view, despite the fact that he is willing to say or do anything for the sake of publicity.
The good parts: Nothing, really. Read the book by Poppy Z. Brite, if you want good.
Customer Reviews:
I read it straight through without stopping........2006-06-01
I must have said "Oh my Goodness" or it's equivalent at least 10 times throughout this book. Once I started reading it I couldn't put it down and read it straight through without stopping for any reason. It took me one hour. This is a horrifying book. It appalles me that anything like what happened to this boy could happen to anyone, let alone tons of kids in orphanages. I'm glad things are a little better now a days but we still have more work to do. This book is NOT for children and only select teens who are ready for something as horrifying and sickening as this story.
I commend Roger for living through what he did, I probably would have just given up.
Astounding read.......2003-06-05
As many have reviewed before, there are simply not enough stars that I may account to this book. It is indeed a story about abuse, eventual strength, and redemption. I wish that I could say that Mr. Kiser's story was not true, but, alas, it was. Perhaps if not only just his eventual redemption, the fact that many, perhaps thousands of people out there will be helped and informed about child abuse that occurred in orphanages in the past. As well, it will help many and inform many on the subject of child abuse, in general. Indeed, Roger Kiser was a beautiful, special boy and I am sad that noone ever told him that in his childhood. Ah, but he grew up to be a wonderful man, husband, father, and-author. He has opened the door to the often not talked about subject of child abuse. And I will forever, absolutely truly be grateful to him, for that. Not enough stars, for this book. Not enough stars, at all.
Adopted by the world!.......2002-12-28
Orphan is a testament to good triumphing over evil and how one boy grew up to be adopted by the world. Author Roger Dean Kiser is a 54 year old, happily married father and grandfather who now calls Brunswick, Georgia home, but he once was a beautiful child longing for love and attention, a hug or a pat on the back; a prayer or a kiss goodnight. Things too many of us take for granted.
Little Roger also had beautiful eyes and wonderfully original ears that made him truly unique. Unfortunately he didn't know that and no one ever told him when he needed to hear it the most. What he did hear and on a daily basis was that he was unwanted, unloved, crazy and wouldn't amount to anything. That's pretty much what every child raised in the orphanage in Jacksonville Florida was told. But because of Roger's wilful spirit, uncommon wit and boundless curiosity, his guardians punished him with particularly cruel and unusual punishments. In a nutshell, they tortured him.
From beatings for trying to free butterflies to being forced to eat a personal letter that Kiser found that was hidden from him under the head matron's bed, there was no rhyme or reason to the punishments. Yet, within Roger's small frame of reference, this behavior seemed normal. And instead of spouting 'poor me', the young boy kept searching for, if not love, small doses of recognition, kindness and compassion.
Like so many children lost in the system, Roger had to find his own way to freedom. Although Orphan promises us he eventually does (no doubt, there will be a follow-up memoir) Kiser mostly deals with his years at the orphanage and ends with his experiences in Juvenile Hall at the age of 13.
I'm a tough cookie, but tears definitely dotted the pages of my copy of this memoir. I also heard myself laugh. Kiser has a way with words and knows how to spin his tales for maximum effect. Besides the obvious joy at his surviving such a brutal childhood, I suggest Kiser's gift is short story telling. The book is actually made up of short stories in chapter form. Because they are chronologically laid out, the result is a success.
Orphan was a roller coaster ride with all the expected hills and bumps you would expect, but a few less bumps would have made for a more satisfying story. Human nature, I guess. We want, no, we need to know people we care about are all right. And care about Roger you will. Reading Orphan, I wished that I could have entered Roger's little world, hug him, and tell him he was beautiful and that God loved him even when everyone around him didn't! The most satisfying part of reading Orphan is the knowledge that in writing his memoir, Roger Dean Kiser, Sr., has been rewarded ten-fold, with large doses of recognition, kindness and compassion. He deserves it
Heartbreaking but triumphant!.......2002-01-26
I had read some of Roger Dean Kiser's work on Heartwarmer's. Reading about his entire childhood in this book filled me with such a deep sadness. I can't imagine enduring the kind of physical and emotional torment that he grew up with. Roger is such a fine example of the triumph of the human spirit. It amazes me that after surviving his childhood that he could become a loving husband, father and grandfather. He's not filled with hate, rather he's determined to wake us up to prevent more children from suffering the same abuse. We can all learn a very important lesson from his life.
FIVE (5) GOLDEN STARS.......2001-07-17
I have read many non-fiction books in the course of my life. This is the only book that has actually made me cry, and I am not exactly sure why. I am not talking about the crying of normal tears. I am speaking of the type of tears that (slowly) glass over the eye until a tear falls out onto the page. You stop for a just a moment and realize that your hand is now covering your mouth, and a almost whimpering sound is now coming from deep in your throat. If there was ever a book written that makes the reader feel that they are the child that is actually being abused; This is the one!
