Corporate attorney Kenneth Adams presents the first detailed survey of the conventions of language and structure in drafting corporate agreements. Adams pays particular attention to the categories of language that occur in the body of the contract and how best to express them. He proposes alternatives to traditional techniques of drafting that will produce clearer, more efficient contracts. --David Marshall Nissman, J.D.

      Book Description

From a corporate lawyer in private practice comes a detailed analysis of, and guide to, the conventions of language and structure in drafting corporate agreements. Adams summarizes the traditional techniques of drafting and proposes alternatives that produce clearer, more efficient contracts. This comprehensive and pragmatic book includes examples of different usages and explains in detail the reasons for favoring one over another. Citing other authorities on drafting, legal writing, and English usage and grammar generally, as well as case law, Adams creates an authoritative context for his own arguments and advice. An appendix provides "before" and "after" versions of a sample contract identifying inefficient or archaic usages and proposing alternatives. This essential resource examines the parts of a contract and the drafting issues found in each. Adams pays particular attention to the categories of language that occur in the body of the contract and how best to express them. He then addresses more general topics, including use of defined terms and references to time, and discusses various usage that tend to be problematic, such as provisos. Adams also discusses provisions that specify drafting conventions, examines the principles of effective general writing that apply to drafting, and considers aspects of the drafting process. Ideal for anyone who drafts, negotiates, or interprets corporate agreements, this work will find a place in the libraries and on the desks of practicing lawyers and law students alike.

        Book Description

In January 1995 the first Complexity Seminar was held at the London School of Economics, in the UK. This was quite a momentous occasion as it proved to be the turning point for the series of seminars, which had started in December 1992. That seminar and those that followed it, had a profound effect on the research interests of Eve Mitleton-Kelly, the initiator and organiser of the series and editor of this volume, and thus laid the foundation for what became the LSE Complexity Research Programme, which proceeded to win several research awards for collaborative projects with companies. But the series also provided the material for this book. Earlier versions of the papers selected for this volume were first given at the LSE Complexity Seminar series.

The seminar series, focussed primarily on the application of the theories of complexity to organisations - an area of study which was quite new to UK businesses and academics; it slowly helped to disseminate these ideas and today, there is a proliferation of networks and seminar series throughout the UK on complexity; a strong and active academic community studying complexity in different disciplines and a growing number of organisations, experimenting with these revolutionary ideas and putting them into practice.

The 14 international authors in this volume reflect this interest in 10 chapters that range from the very practical application of the theory to more philosophical reflections on its nature and applicability. They do not all agree with each other, but since diversity and variety is at the heart of complexity they each provide a strand of an intertwined whole, which will enrich and deepen our understanding. In an environment of increasing uncertainty and ambiguity it is necessary to learn how to hold, in tension, disparate or even contradictory views, without undue stress. The world is not a simple dyadic black or white entity, but a rich multi-coloured and many-hued ensemble, each strand or perspective contributing to an intricate and inter-related n-dimensional whole.

5 out of 5 stars Sound, Sensible, Straightforward Advice.......2001-05-02

The book is a WINNER and a welcome relief to a Neanderthal party giver such as myself. When I think what I put my son through two years ago for his high school graduation, I cringe inwardly and ask the heavens for forgiveness. But life is made for second chances and my daughter is graduating from high school in a couple of months (June 2001).

My communications with my strong-willed seventeen-year-old daughter can become, even with the best of intentions, an unfortunate "tug of war." By following the authors' advice in the section titled "Don't Forget the Guest of Honor," this book has already paid great dividends. Within fifteen minutes of asking my daughter the questions suggested by Ginger and Mary in this section, I had a clear and concise idea of the type and size of celebration she would enjoy and, miraculously, not a single frustrated word was said between us. My daughter seemed genuinely pleased with the thoughtfulness of my questions as well as some of my ideas. The fact that the questions and ideas came from "Graduation: Celebrate with Style!" shall remain my secret - I plan to take full credit for everything and bask in my daughter's good feelings. Using the SOUND, SENSIBLE, STRAIGHTFORWARD ADVICE given by Ginger and Mary in "Graduation: Celebrate with Style!" I am confident that my daughter's graduation celebration will be memorable and appreciated by the guest of honor

One warning to readers - do not read the book before going to bed. I got so excited thinking of ideas for my daughter's graduation celebration that I had a hard time falling asleep.

This book documents how the IRS steals billions of dollars from taxpayers every year, by intimidating them into paying taxes they do not owe. It suggests adopting a flat tax that could be filed on a postcard-size piece of paper years before Steve Forbes began proposing the same idea.

                Customer Reviews:

5 out of 5 stars High recommendation for this book.......2007-01-16

Reviewed by William E. Cooper for Reader Views (1/07)

Integrity. We live in a world where integrity has often become situational. We don't always agree what it is or when it applies. Many people simply have never been taught its value or applications. The pace of today's world too frequently does not allow many people or organizations the time or ability to consider the ethical implications of decisions or actions. Unless one is grounded in integrity and practices it as a rule, the consequences of taking the "easier" option in the long run may become significant.

As a retired police chief it was my responsibility to insure the integrity of everyone and everything in my department. The public entrusted us with considerable power, and the criticality of maintaining the highest standards was the rule of the day. Absolute, unquestioned integrity must come from the top and be set through example and actions. In addition, the leader of the organization must have the courage to act when ethics violations occur. So it is in an organization, and in any person.

We are constantly barraged by ethics problems in the daily media, yet the majority of organizations and people are honest and truthful. It is our responsibility to teach it and conduct ourselves accordingly. Mr. AuBuchon has written a truly good book on the subject, and I encourage everyone to buy this book and read it. He provides an excellent journey through the subject and adds cases, examples, policies, and directives, as well as references to the law. I believe this book should be part of every home, business, library, and educational institution. It is too important to ignore or let get away from us. Any discussion of religion, politics, government, or education must have as its basis integrity and ethics. The author provides his readers with definitions of ethics, applicability to each of the parts above.

I've taught ethics in the police academy and in graduate school courses. I've written on the topic and have found that many of the ideas and beliefs I teach are discussed and promoted in this book. I have to provide a high recommendation for "Integrity: Do You Have It?" because it deserves it.

Bravo and thank you Dennis for taking a fresh and in depth look at a timeless principle - integrity! Dennis reminds us that integrity is inarguable, self-evident and a natural law if you will. This book is so keenly aligned with our natural instincts to seek out those that demonstrate integrity as our most admired models. In Stephen Covey's newest release "The 8th Habit", he cautions that 90% of all leadership failures are character failures. Truly an integrity yardstick that I have already used to make my daily interactions more effective. Bob Huggins needs to take a look at this one!!!

                    Book Description

The English writer Christopher Isherwood settled in California in 1939 and spent the war years working in Hollywood film studios, teaching English to European refugees, and converting to Hinduism. By the time the war ended, he realized he was not cut out to be a monk. With his self-imposed wartime vigil behind him, he careened into a life of frantic socializing, increasing dissipation, anxiety, and, eventually, despair. For nearly a half decade he all but ceased to write fiction and even abandoned his lifelong habit of keeping a diary.

This is Isherwood's own account, reconstructed from datebooks, letters, and memory nearly thirty years later, of his experience during those missing years: his activities in Santa Monica, and also in New York and London, just after the war.Begun in 1971, in a postsixties atmosphere of liberation, Lost Years includes explicit details of his romantic and sexual relationships during the 1940s and unveils a hidden and sometimes shocking way of life shared with friends and acquaintances--many of whom were well-known artists, actors, and film-makers. Not until the 1951 Broadway success of I Am a Camera, adapted from his Berlin stories, did Isherwood begin to reclaim control of his talents and of his future.

Isherwood never prepared Lost years for publication because he rapidly became caught up in writing the book that established him as a hero of gay liberation, Christopher and His Kind.

With unpolished directness, and with insight and wit, Lost Years shows how Isherwood developed his private recollections into the unique mixture of personal mythology and social history that characterizes much of his best work. This surprising and important memoir also highlights his determination to track down even the most elusive and unappealing aspects of his past in order to understand and honestly portray himself, both as a writer and as a human being.

                    5 out of 5 stars Important Gay History - A MUST Read.......2007-10-10

This book is a very important piece of our Gay History. People seem to forget that there were Homosexuals before 1978. This Memoir is very insightful, and really brings to life what gay life was like back then.
Homosexuals seem to ignore where we came from and how far we have come. Authors like Christopher Isherwood and Gore Vidal need to be read (as well as many others). On top of that it is a fun read.

2 out of 5 stars Should Have Stayed "Lost.".......2003-11-11

Though I read and enjoyed Christopher Isherwood's "Diaries, Volume One", I was bored by these recollections,"Lost Years, A Memoir", which were composed by him some thirty years after their occurrence. Apparently he had abandoned his daily practice of keeping a diary between the years of 1945-1951, and this is his attempt to cover those lost years. There are some mildly interesting stories here, and also includes little tid-bits about the people you'd expect it to, Garbo, Vidal, Williams....but I found it very repetitious. Also, though I am far from a prude, and am just as much of a horn-dog as anyone else, I found the very graphic description of his sexual escapades to often be tasteless and vulgar. Tennessee William's "Memoirs", for example, included many accounts of sexual situations, but they were usually recounted with such humor that it only made them very comical. Not only are many of Mr. Isherwood's sexual memories told without any comical hindsight that one could maybe even identify with, or, in fact, any sensuality, but, they are beyond bad taste. I mean, there are some things I just don't need to know. Though I respect Mr. Isherwood and his literary legacy, and know he is remembered as a good person and friend, the overly prurient, if I may use such an old fashioned word, tone of this book really turned me off. The contents of these rememberences were just not interesting enough for me to get past the self-indulgent drivel. I guess there IS such a thing as too much honesty. Sex "in your face" is a bore, and so was this book.

                    5 out of 5 stars "A Very Honest & Important Memoir".......2001-02-06

If your looking to know the real "Christopher Isherwood" this is the book to read first. I really enjoyed this memoir called "The Lost Years" 1945-1951 because of its openness & honesty. If your interested in Christopher's daily life in every detail, from his friends, sex partners, lovers, and acquaintances it's all here. I expected to get details about all faucets of his daily life from this memoir and that's exactly what I got. If your looking for a sugar coated boring sexless book, look elsewhere. Christopher is very honest in laying out in graphic detail his sexual conquests. But that's not to say the book is just about his sexual life, it's like I said about all the daily details of his everyday life for those years. There's a wonderful Chronology in the back of the book for a quick history lesson of his life, and a glossary that is outstanding that contains all the bio's and history of his friends, partners, and relatives.

This book really opened my eyes to this wonderful writer, who happened to be gay. I thought the 90's were gay but after reading this book, things weren't much different back in the 40's. Gay life as we call it today, was really just as gay back then. Katherine Bucknell has done a wonderful job in editing this book, and gives us a wonderful introduction. Getting to know Christopher Isherwood as a writer and a human being has been a wonderful experience for me. Highly recommended.

                    1 out of 5 stars Isherwood Embarrassment.......2000-11-11

This is the most embarrassing book I know written by a writer of literary reputation. It is a mean-spirited, self-aggrandizing work that will only detract from the author's standing as a serious author. There are repetitive renditions of affairs, including intimate details that make one wonder why this book, not finished, was published posthumously at all. Gossipy, and spiteful, awkwardly written, this is a shameful document, not literature.

5 out of 5 stars Hiding from Garbo and Other Old Tricks.......2000-11-01

This memoir raises the bar for sexual candor way above what we are used to, and that is a good thing. Isherwood, in commenting and elaborating on his sketchy daily calendar notes for these years, takes a fiercely critical view of himself and his obsessions and, in the process, reveals the very funny and humane man behind the suave, mannerly one we have been familiar with up to now. From what he describes, gay life in Los Angeles during these years was covert yet very, very wild. He was a busy guy, both professionally and personally. His portraits of his friends, lovers, tricks, flirtations and coworkers in the film industry are vivid and viscerally engaging. When Isherwood wrote this memoir in the 1970s he no longer had any use for euphemisms and politesse and, consequently, he simply calls a three-way a three-way and says who did what to whom in what order and whether he later went back for more. What comes through loud and clear is that Isherwood loved the sex he had, and that he had no time for those suffering Saras and Sams who claimed that shame and suffering lurk behind the lure of sensuality. The body was a temple to him and he attended services every day and often more than once a day. When he set out to have fun with the boys, he had fun with the boys. When he had lunch with Garbo, he had a GREAT lunch with Garbo; and when he talked with Ava Gardner as a pal, he dedicated 100% of his attention to her. Does knowing this much intimate detail diminish Isherwood-the-writer? If anything, this brilliant, dishy and hilarious memoir deepens my regard for the Isherwood who produced the fiction classics like The Berlin Stories and A Single Man. I am in awe of his honesty.

5 out of 5 stars Migrant Worker: Reflective of Today's Issues Concerning Immigrant Workers in the United States.......2006-05-08

Synopsis: Migrant Worker tells the story of life as a migrant worker from the perspective of an 11-year-old boy, Ricky. During the summer, Ricky travels with his family to various farms to help with the harvesting of crops. Once a particular crop is harvested, the family is forced to travel north where there more job opportunities to harvest other crops. Ricky explains how he lives in one home in a Rio Grande colonia during the school year; however his father works in Chicago in order to send money to support his family during this time of the year. Ricky explains the trials and tribulations of doing hard labor as a child and emphasizes the importance of education in order to move on to better opportunities. Although life as a migrant worker isn't easy, Ricky explains the pride he has in living in the United States, where his parents are sacrificing to give him a chance for a better future.

Evaluation: This book gives great insight into the life as a migrant worker. Because it is told from one child's perspective, it allows the reader to picture a face with this type of lifestyle. The story of Ricky shows how children are still exposed to rough labor despite current child labor laws in the U.S.A. These labor laws do not protect children of immigrants who are given permission to work by their parents because their family depends on the collective earnings. Many workers do not even earn minimum wage. These facts are surprising considering that this story is told in contemporary times. What is more shocking is that so many workers are exploited for cheap labor and toil under hard conditions whether they come to the United States legally or not (Ricky's family works legally with a work visa). The book is fully illustrated cover to cover with photographs that further offer a visualization into Ricky's world. Hoyt-Goldsmith also presents excerpts of stories from other migrant worker children from the Rio Grande. She gives evidence of research into this social group by interviewing the people and looking into their historical perspective. Although the book presents some grim details about migrant worker life, it still manages to keep a positive overtone of hope for the future. A portion of the book is dedicated to information about Cesar Chavez and the United Farm Workers of America. Teachers may use this book in conjunction with today's focus on the issues of immigrant workers in the States, especially considering the rallies held in major U.S. cities on May 1, 2006. Migrant Worker may also be used as a non-fiction support with realistic fictional books such as Esperanza Rising or Amelia's Road.

                                    Book Description

Tibbit's Boys is a new form of a combined regimental and campaign history. The 21st New York Cavalry regiment's unit history is the means by which readers may experience the Shenandoah valley campaign of the summer of 1864. As the story of this late war regiment unfolds, readers can watch the regiment's birth from a cadre of experienced officers and men. At the same time, readers will also be able to review the tactical and strategic context of the Union high command's final offensive designed to end the War Between the States. The Shenandoah Valley campaign of 1864 was a major theater of operations that contributed to the downfall of the Confederacy. Although the 21st New York Cavalry did not participate in the climatic fall battles of the campaign of 1864, the regiment returned to action during the mopping up phase of the offensive, directed at Mai John S. Mosbey's 43rd Virginia Partizan Rangers. An epilogue describing the Indian War service of the regiment has been included to make the story complete. This book has something to say to the present generation about the War Between the States that has not been said by other writers. It tells the history of a major campaign from the viewpoint of the soldier on the firing line as well as from the commander's perspective. Civil War and middle period students will be interested in this book.
