Very helpful with an LLC in California. Insightful information as to California Codes and structural composition of the limited liability company.
While ongoing affairs are not covered, that is the beauty of the LLC. Resolutions, meetings of shareholders and managers are not required to maintain limited liability characteristics.
Solid, no nonsense advice on forming a California LLC.......2002-12-03
I found this book helpful and time-saving. In general, it provides an overview of the limited liability company format, making entity comparisons between LLCs, corporations, and partnerships. It also focuses on specific California issues, such as California (as well as federal) tax angles. The appendices furnish an array of useful forms, some not directly related to LLC formation, but important in the larger business context. Included are state of California Articles of Organization for LLC formation, a model operating agreement, sample minutes of the members' first organizational meeting, an application for reservation of name, a preorganization subscription agreement, a bill of sale agreement, and a medical and dental reimbursement plan. Finally, membership certificates are appended as well and will do the job, but since these are photocopies, most people will want to order fancy custom-printed membership certificates from one of the companies supplying them. Almost all of these items can be tracked down by the persistent but prove especially handy in this one-stop format. One exception is the detailed operating agreement provided, which is invaluable and worth the price of the book alone. I could not have created this essential document on my own without this model. The step-by-step instructions, with filled-in forms as examples, and the appended form archives considerably speeded up the process of formation of my California LLC, if not "before the ink dries!" as the title asserts.

This is an incomplete book that covers only the basics of "forming" a LLC. Not "maintaining"! I bought this book hoping to learn how to protect my business from lawsuits when litigants try to "pierce the corporate veil". Unfortunately there's NO talk about the formalities of maintaining the LLC. No talk about NOT commingling personal expenses with LLC expenses. No talk about setting up a separate LLC bank account. No talk about having a separate business phone line. No talk about having your web site registered in the name of the LLC. And where's the talk about sufficiently capitalizing the LLC relative to the level of business it generates? Failure to start the LLC with enough capital can make you personally liable to lawsuits. A dime a dozen are agents, lawyers and authors that try to make a buck off of you by getting you incorporated "before the ink dries". Just once I'd like to see someone who goes the whole nine yards by telling the WHOLE story about incorporating. The body of this book is 92 pages long followed by some forms...

How to form a Limited Liability Company in Florida.......2000-02-01
I purchased this book to help explain some of the complexities of an LLC and why there are so few in the State of Florida. The book answered all my questions and in fact explained that with the new laws in Florida, this is the only way to go. I was able to use the forms and send a check to the state the same evening and was registered within a week. A great savings over an attorney and I'm not at all sure I would have understood any where near as much had I gone to one. Most attorney's themselves are not LLC's but probably will be in the near future when they have had a chance to go over all the changes within the law.

This book is like a collection of your favorite short stories on wine, about wine, about people who make wine; educational, informative, and delightful to read. Each chapter is a "short story", short, easy to read, and re-read.
It is a collection of over 90 columns from Frank J. Prial's "Wine Talk" which often appears Wednesday in The New York Times. He has been writing for the newspaper for over thirty years, starting as a reporter, then foreign correspondent, and while in France, got into writing about wine as a "novice".
While Prial is considered a "wine critic," he is not a "wine rater" or "telling you this is better than that." He likes people, and those that make wine, most of them. It comes out in his columns assembled in this book with humor and warmth.. Perhaps it should have been called the "Best of Prial."
The writing is superb. Great humor, knowledge, point of view told in short story format, so you can set down , think about, perhaps re-read, and enjoy the world of wine from Bonny Doon in the Santa Cruz Mountains, to the Napa Wine Company (("a winery for winemakers who don't happen to own a winery"), on our website,) to a Beirut hostage who survived three years in captivity by reciting daily the 1855 Bordeaux classification.
His syntax and vocabulary is excellent. Most importantly, he does not talk down to you, and is fun to read.
Pour Yourself Some of This.......2002-03-31
Long, long ago I'd heard that Frank Prial, author of this book and wine critic of the New York Times, had to be badgered and bullied into taking the job. And who could blame him? Writing a weekly column year in and year out is an exhausting grind. Still, I'm awfully glad he took it on, and gladder still that some of his columns--from the past three decades or so--have been collected in this book. This is a book for the intelligent reader with an interest in wine; it is not for snobs and geeks. Its content is not poetry, for Prial is not a poet (as, for example, Gourmet magazine's Gerald Asher is). But he is first and foremost a reporter, and that's what's wanted more often than not when it comes to informative prose about wine (anybody can scribble stuff about 'hints of chocolate on the nose,' and far too many do). What Prial provides is the literary version of a good, sturdy country red, full of pleasure and easy to like. This isn't a "wine course"; there are no Qs and As and lists to memorize. "Decantations" is instead a stroll through the vineyards with a well-informed observer who's happy to pass on a little of what he's learned down the years. Prial ranges widely, writing of wine's notable families (the stately Rothschilds, the elegant Antinoris, the vivacious, New York-born Benzigers); some colorful titans (from Walter Taylor, the self-styled Baron of Bully Hill to Alexis Lichine, the Russian-born American who revolutionized the French wine business, whether the French liked it or not). Want some insight into the foolish devotion to vintages--or the equally foolish devotion to the tyrannical Bordeaux Classification of 1855? Want the lowdown on Beaujolais Nouveau? Prial clues you in, and briskly, too: One of the things a reporter learns is to keep it brief, and Prial does not ramble on. I could quibble a bit. There's not nearly enough here about Italian wines, and overall the book is TOO short--a mere 304 pages, including the index. But good wine writers and good wines have this much in common: They leave you wanting more.

From the supplier: Federal and state income taxes of small businesses can be minimized through the use of a linear optimizing model. Based on the Internal Revenue Code of 1986, the model applies to Subchapter S Corporations, limited liability companies, partnerships and sole proprietorships. Taxes are computed based on a company's cash flow budget. Small business failures due to poor financial management and overtaxation can thus be reduced.

I feel very fortunate to have this book as it is now out of print. I bought it in 1993 at a book store and just ran into it on a whim. I enjoyed the book as it had a lot of information about Reba and her journey through life so far. Up to this point I have every book that has been written about her and find this one to be very informative.
She is "The Queen of Country".......2000-08-08
Luckily for me, my husband found a copy of this book in perfect condition at a used book store. I cried while reading it. They were both tears of happiness and tears of sadness. The book talks about her life as a young woman followed by her start in Nashville all the way through to her darkest moment when her crew's plane went down. It also goes into some of the acting she did in the 1990's. I truly enjoyed this book. If you are a Reba fan, it is a MUST have. Enjoy!

If you can't get enough of Reba you'll enjoy this book. Mr. Cusic gets his information from people who know her well, and most of the events discribed agree with her autobiography, "Reba:My Story" ( read it first!). If you get the chance to read this ,do, just keep in mind Reba didn't authorize this so some things may be a little exaggerated.If you're not a fan already reading her story will make you one!

He and his schoolmates had never seen a paved road, a fire truck, or a tractor. While Hitler was remaking the map of Europe, their tattered geography books were pre-World War I.
By focusing on his neighbors, his family, and the small details of everyday life, Hill shows how the twentieth century came thirty years late to the backwoods of his boyhood. This was a simpler time of square dances and school pageants, when women spent much of their free time "rubbering" (listening in) on the new-fangled party lines and men drove their first cars as if they were horses, stopping often to let them rest.
Democrat was a nasty word during those years of the New Deal. Children would happily divide into North and South or Cowboys and Indians for the sake of a good game of Prisoner's Base, but if anyone suggested Democrats versus Republicans, no one would volunteer to be a Democrat.
Hill transports us back to a faraway time and place, a world poor in such things as electricity but rich in family life and honored traditions. It was a world that would disappear forever with the coming of World War II and the incursion of modern life.
